Contract Formation

Contracts are an inseparable part of business and financial transactions in our society. Even a seemingly simple agreement between parties can quickly become overwhelmingly complex as both sides try to protect their interests and account for every variable within the language of the deal.

Whatever your contract needs are, an experienced business attorney like one from Bay View Law Group’s network can help you not only navigate the process to a successful signing, but get best results for you at every stage from negotiations to the drafting of the final agreement.

The following are just a few examples of the types of contractual documents for which Bay View Law Group can provide expert advice and assistance.

Acquisition Agreements

If you are looking to purchase or merge with a business, an existing LLC, or any type of corporate entity, you are going to need an Acquisition Agreement. There are many questions to which you might not yet know the answers – am I making an entity purchase or an asset purchase? Does the seller have a corporate shell they want to keep intact? Do I fully understand the debts and obligations I am taking on with this merger? An Acquisition Agreement is where these and countless other questions are answered on paper, and you will want an attorney at your side who can help you best articulate your goals in the transaction, as well as see potential unpleasant surprises you may have missed.

Retainer Agreements

You will find many reasons to hire the services of an attorney in your life – to assist in a transaction, to defend you in a criminal court or civil suit, or to act as an executor of a will or trust, just to provide a few examples. Any time you do so, you need a Retainer Agreement. This agreement spells out exactly what services the attorney is expected to provide, and binds him to provide them to you (and specifically not to your adversary in a case) to the best of his or her ability. In many cases, the attorney you are hiring will have a boilerplate contract of their own – if, however, you want an independent review of that contract, or assistance in drafting one of your own, Bay View Law Group can provide valuable knowledge and insight.

Contract Addendums

It may sound exhausting, once you have gone through the process of preparing and signing any contract once, to even consider revisiting that contract with an Addendum, the technical term for an addition. These additions can expand and/or refine a term defined in the original contract, or even express a change in the agreement. But in many transactions, particularly financial ones such as loans, Addendums are a standard and useful tool for adjusting to an evolving reality while protecting the spirit of the original contract. To successfully create an Addendum involves understanding that original spirit even if you were not involved in the original negotiation. Bay View Law Group’s attorneys can not only help you pierce the code of your contract, they can help you craft an Addendum which keeps the contract on course towards your goals.
